vs5312a/converter box

I am thinking of getting a VS5312A distribution center. I have main TV is analog, TV 2 is dig.,plus DVD
Do I put the ( pass through) converter box in between the vs5312 and main TV? and then just plug the DVD into the vs5312 rca jacks IN? Will this play the DVD on both TVs? Also does it matter that the batwing ant is already powered? I understand that the vs5312 has a 12volt power connection.
